These Terms and Conditions (“the Terms”) contain important information and relate to your use of this website (“the Site”). You will be bound by these Terms in full and those of our Privacy Policy. If you want to advertise a parking space (“the Advert”) you agree to be bound by the Owner Agreement on this Site and any additional terms referred to herein and if you want to book an advertised parking space you will need to enter into a Parking Space Agreement on this Site with the Parking Space Owner and you agree to be bound by the Motorist Agreement on this Site and any additional terms referred to herein. By continuing to use this Site you are agreeing to abide by the Terms as set out below. If you do not accept these Terms do not access or use the Site or Services.

1. Introduction and Overview

(a) This Site is operated by Parkuphere Limited, trading as www.parkuphere.com (“we”, “us” or “Parkuphere.com”), a company registered in England
and Wales under company number 08763992 with its registered office at 1 Steward Close, Cheshunt, EN8 8UW.
(b) Parkuphere.com is a platform that provides an advertising and payment collection service for any person or organisation who own a parking space or has
the legal authority or is authorised or has permission to advertise and let out a parking space (collectively “the Owner”) and a search and payment facility
for any person seeking to book such parking space who has a valid driving licence and holds effective insurance for all risks deemed appropriate to cover your
vehicle whilst it occupies the Parking Space that makes and pays for a booking (“the Motorist”) (together “the Services”) which Services are accessible
at www.parkuphere.com. The term “you” or “yours” refers to the person accessing or using the Site or the Services.
(c) We may revise these Terms at any time without notice. Any such amendment shall be effective once revised Terms have been posted on the Site.
Continued use of the Services and/or the Site after any such changes constitutes acceptance of the new Terms. It is therefore advisable to regularly review
these Terms. Further, we may make changes to the format of the Site or Services provided or to the Site’s content at any time without notice.

2. Conditions of use of the Site

(a) You agree that any information you supply will be true, accurate, current and complete and you also agree to maintain and promptly update such information
through www.parkuphere.com to keep it true, accurate, current and complete.
(b) You may not use the Site to publish any offensive, inaccurate, fraudulent, illegal information or threaten the safety of members nor shall you engage in
advertising to, or solicitation of, other members to buy or sell any products or services through our Site.
(c) We reserve the right to remove any advert, content or posting which we believe is in breach of these Terms, with or without prior notice, and without any liability,
financial or otherwise.
(d) We may cancel unconfirmed accounts or accounts that have been inactive for 12 months.
(e) We may cancel your account if we believe that your use of the Site or the service we provide on the Site is unreasonable.
(f) We will not be liable for any misuse of your account due to unsafe keeping or prohibited disclosure.
(g) We grant you a limited licence to access and use the Site, but not to download (other than page caching) or modify it, or any portion of it,
except with our express written consent.
(h) In the event that you are informed that you are no longer entitled to access the Services you will not be entitled to register again and you will no longer
have permission to use the Site.

3. Advertising and Commercial Use

(a) You are strictly prohibited from uploading, posting, emailing or otherwise transmitting any unsolicited or unauthorised advertising, promotional materials,
‘junk mail’, ‘spam, ‘chain letters’, ‘pyramid schemes’ or any other form of solicitation.
(b) You are not entitled to resell or commercially exploit the Site’s content. You are not entitled to use any data mining, robots, or similar data gathering
and extraction tools to collect usernames, email addresses or any other data for the purposes of sending unsolicited emails or for any other use.
(c) In the event that you are found to have breached these Terms we reserve the right to terminate without notice your use of the Services and Site without
any liability to you or a third party.

4. Our Liability

(a) The Site has been prepared solely for the purpose of the Services offered by us. We make no warranty or representation that access to the Site or Services will
be uninterrupted, timely, secure, or error-free, nor do we make any warranty or representation that the content of the Site, or any information given through it,
is accurate or reliable.
(b) You acknowledge and agree that use of the Services or Site is at your sole risk. We have made every effort to ensure that the information on the Site and
available through the Services is correct at the time of publication. However, the Site and the Services are provided on an ‘as is’ and ‘as available’ basis.

of the Site will be uninterrupted, virus free or error-free. No responsibility is accepted by us for any errors, omissions or inaccurate information.

business opportunity, arising as a result of using the Site or Services and howsoever arising. If you are a business or organisation, we also have no liability to you
for any loss of data, economic loss, or consequential or indirect loss arising as a result of using the Site or Services, howsoever arising.

(a) All notices sent to you will be sent to the email address provided to us or as updated by you through the Site. By accepting these Terms you give consent to
receive communications from us by email and agree that all agreements, notices, disclosures and other communications that we provide to you by email satisfy
any legal requirement that such communications be in writing.
(b) Personal information that you supply will not be disclosed by us to any third party save in accordance with our Privacy Policy and you agree that we may use
the personal information supplied in accordance with our Privacy Policy.

6. Links to other Websites

(a) The Site may include links to other websites. We have no control over these websites and you acknowledge and agree that we are not responsible for
the availability of such external websites, and do not endorse and are not responsible or liable for any content, advertising, products, or other materials
on or available from such websites. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss
caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such website.
(b) You may create a link to the Site’s home page only, provided that it is done in a manner that is fair and legal and does not damage our reputation or
take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
We reserve the right to withdraw linking permission without notice.

7. Intellectual Property

(a) All content included on the Site, including, but not limited to, text, graphics, logos, underlying code and software is the property of www.parkuphere.com.
By you continuing to use the Site you acknowledge that such material is protected by applicable United Kingdom and International intellectual property
and other laws.
(b) We are the owner or the licensee of all intellectual property rights in our Site. Those rights are protected by copyright laws and treaties around the world.
All such rights are reserved.
(c) You must not use any part of the content on our site for commercial purposes without obtaining a licence to do so from us or our licensors.
(d) When you upload or post content to our site, you grant us a perpetual, worldwide, non-exclusive, royalty-free transferable licence to use, reproduce,

(a) We do not pre-screen content (including content relating to parking spaces) or information on the Site and we cannot give any assurance as to its accuracy
or completeness.
(b) You must not publish any defamatory, misleading or offensive content or any content which infringes any other person’s intellectual property rights
(e.g. copyright). You warrant that any content you post on our Site will comply with those standards.
(c) You will be liable to us and indemnify us for any breach the warranty you give in clause 8(b). If you are a consumer user, this means you will be responsible for
any loss or damage we suffer as a result of your breach of warranty.
(d) We have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of
their intellectual property rights, or of their right to privacy.
(e) We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of our site.
